1. SMS COMMUNICATIONS

2. Governing Law – Arizona Jurisdiction

All services provided or business conducted with Sunridge Home Solutions shall be governed by the laws of the State of Arizona.

3. Mandatory Arbitration

Any dispute arising from this Agreement shall be resolved via binding arbitration in Arizona under the Commercial Rules of the American Arbitration Association. The parties waive their right to a jury trial.

4. Limitation of Liability (The $5,000 cap)

To the maximum extent permitted by law, the parties agree that the total aggregate liability of Sunridge Home Solutions to the Recipient for any and all claims, whether in contract, tort, or arbitration, shall not exceed Five Thousand Dollars ($5,000.00). This cap is a fundamental inducement for the Company entering this Agreement.

5. ATTORNEY FEES WAIVER (WIN OR LOSE)

Notwithstanding A.R.S. § 12-341.01 or any other statute, each party shall be exclusively responsible for their own legal fees, costs, and expenses incurred in any dispute or arbitration. The arbitrator shall have no authority to award attorney fees to the prevailing party. This "each-pay-own" provision applies regardless of the outcome or judgment of the case.

6. Exclusions

Sunridge Home Solutions retains the right to seek equitable relief in court for claims relating to intellectual property, confidential information, or unauthorized access to company systems.
